Abstract

"Lisanslı Depoculuk ve Ürün Senetleri" başlıklı tez çalışmamızın ilk bölümünde, lisanslı depoculuk sisteminin temelini oluşturan umumi mağazacılık faaliyetlerinin ülkemizdeki gelişimi ile iki sistemin birbirine benzer ve farklı yönlerine ilişkin olarak genel bilgiler verildikten sonra lisanslı depoculuk sisteminin ülkemizdeki mevcut durumu, bu faaliyet ile iştigal edebilecek şirketlerin anonim şirket statüsünde kurulma zorunluluğu, şirket kurucularının haiz olması gereken özel şartlar, şirketin sahip olması gereken asgari sermaye miktarı, esas sözleşmesine dair esaslar ile şirketlerin kuruluş ve faaliyet izni alması için gereken şartlardan bahsedilmiştir. Çalışmamızın ikinci bölümünde ise, ürün senetleri matlabı altında, bu senetlerin dayanağı olan mudi ve lisanslı depo işletmecisi arasında intikal eden saklama ilişkisinin hukuk sistemimizde yer alan saklama sözleşmeleri içindeki yeri ve taraflar arasındaki ilişkiyi tevşik amacıyla lisanslı depo işletmecisi tarafından düzenlenen kıymetli evrak vasfını haiz bu senetlerin temsil ettikleri hakkın türü tespit edilmeye çalışılmıştır. Aynı bölümde saklanacak ürünün lisanslı depocuya tesellüme sunabilecek kişilerin malik, mümessili veya emin sıfatıyla zilyed olmaması ihtimalleri ayrı ayrı değerlendirilmiş; daha sonra lisanslı depocunun ürünü tesellüm edilmiş sayılmasının şartı olan zilyetliğin kazanım yolları örneklendirilerek incelenmiştir. Lisanslı depo işletmecisinin zilyetliğine geçen ürünün tartım ve ölçüm işleminden sonra tanzim ettiği ürün senedinin şekil şartları, türleri ve bu senedin temsil fonksiyona ilişkin olarak açıklamalar yapılmış ve son olarak ise, lisanslı depocunun hakları ile borç ve yükümlülüklerinden bahsedilmiştir.

After providing general information about the development of public warehousing, which forms the basis of licensed warehousing system, in our country and similar and different aspects of both systems, current condition of licensed warehousing system in our country, the requirement of being an incorporation for companies to operate in this field, special conditions of qualification that must be met by the company founders, minimum amount of capital that the company must have, other issues regarding the company's articles of incorporation and the requirements that must be met to obtain an authorization for foundation and operation are discussed in the first chapter of our thesis, titled "Licensed Warehousing and Product Bills". We tried to determine the status of safekeeping relationship between depositor and licensed warehouse operator, which forms the basis of product bills, in safekeeping contracts section of our law system under the product bills title line and the type of rights represented by such bills, which are issued by the licensed warehouse operator to encourage this relationship between the parties and are considered as negotiable instrument, in the second chapter of our study. The possibilities of not being capable to possess the products, which can be delivered to the licensed warehouse operator by the owner, agency or fiduciary were evaluated separately in the same chapter and also examples were given for the methods to acquire the right of possession, which is considered as a requirement for receipt of the product by the licensed warehouse operator, in order to examine these possibilities. Explanations were made for the form requirements and types of product bills, which are issued after the product that was possessed by licensed warehouse operator is weighed and measured, and for the representation function of these bills and finally rights and liabilities of the licensed warehouse operator were described.
